General Terms and Conditions of Use of the TRAX GLOBAL Platform

Important: Read Carefully

This Platform and all its content ("Platform") is owned by TRAX GLOBAL, the sole and exclusive owner of the domains associated with the Platform. This document establishes the following conditions of use:

By using the platform, the customer automatically agrees to all the rules of the terms and conditions mentioned herein, taking full responsibility for any and all acts performed by them on the platform, as well as for the consequences related to its use. The Customer acknowledges that these Terms and Conditions prevail over any purchase order, commercial proposal, or other document issued by the Customer.

If the customer does not agree with any of the terms and conditions set forth below, they should not use the platform.

Definitions

The terms indicated, used in these Terms and Conditions, shall have the meaning below, whenever used with the first letter capitalized, whether in the plural or singular:

Client

It refers to the legal entity that contracts TRAX GLOBAL's Services and automatically accesses the Platform in order to use the Services, thereby agreeing to these Terms and Conditions.

Account

It refers to the Contracting User account registered on the Platform, which allows other Users to access the contracted Services by using a login and password.

Platform

It refers to the domain and online environment owned by TRAX GLOBAL, through which the Customer accesses the solutions and features offered, including data intelligence tools, container tracking, AI resources (AI Chat, AI Analyst, AI Supplier), and other features.

Privacy Policy

It refers to the privacy policy that governs the provisions on the use of personal data on the Platform, in accordance with the General Data Protection Law (LGPD).

Commercial Proposal

Document sent by TRAX GLOBAL to the Client detailing the commercial conditions of the Services to be contracted, including the amount and payment terms of the Remuneration.

Services

It refers to the set of intelligence and operational solutions offered by TRAX GLOBAL, including foreign trade searches, container tracking, AI tools, cargo simulator, and other features available on the Platform.

Registration, Access, and Login

2.1. Registration

After signing up, the Customer and its users must voluntarily provide information about themselves by filling in the fields requested by TRAX GLOBAL. The Customer undertakes to keep their data up to date at all times. It is prohibited to provide false information or assume the identity of another person.

2.2. Access

Upon registration, the Customer will have a personal and non-transferable Account, accessible through a login and password. If we detect false or risky information, the registration will be canceled and access blocked.

2.3. Responsibility

The access password is confidential and the sole responsibility of the Customer. In case of breach of confidentiality, please contact TRAX GLOBAL immediately. We do not recommend using the same password on multiple websites.

Services and Features

3.1. Services Offered

The solutions that comprise the Services are those described on the TRAX GLOBAL Website and/or in the Commercial Proposal. In general, the Solutions are divided into:

Data Intelligence

Services that present organized information on foreign trade, allowing you to track updated information on the sector, search for and validate potential business partners, perform market analysis, and define strategies.

Supply Chain Solutions

Operational management services designed to automate manual processes, enabling the integration of internal processes through technology, container tracking, and viewing of automatic updates on maritime and air shipments.

AI tools

AI Chat, AI Analyst, AI Supplier, and other artificial intelligence-based solutions to optimize operations and business decisions.

3.2. Integrations

The Services exclusively cover the availability of access to the solutions effectively contracted. If there is interest in carrying out any type of integration with the Client's internal systems, specific negotiation and contracting will be necessary.

Intellectual Property

All intellectual property rights relating to the Platform, Services, texts, images, trademarks, layouts, software, codes, databases, graphics, and other content made available on the Platform are the exclusive property of TRAX GLOBAL or licensed to it.

4.1. License Agreement

TRAX GLOBAL grants the Customer a limited, temporary, non-exclusive, and non-transferable license to use the Platform and enjoy the Services in accordance with the Terms and Conditions.

4.2. Restrictions on Use

It is prohibited to use, copy, reproduce, modify, translate, publish, transmit, distribute, scrape, and/or reverse engineer the Platform for any purpose without the prior express consent of TRAX GLOBAL. Any unauthorized use will be considered a violation of intellectual property rights.

ATTENTION: The Client shall keep the information accessed in the scope of the provision of Services strictly confidential and shall use it exclusively for internal purposes. The Client shall not share or sell any information available on the Platform to third parties without prior authorization.

Subscriptions and Payments

5.1. Hiring

The contract will be formalized upon formal acceptance of the Commercial Proposal sent by TRAX GLOBAL to the Client. The Commercial Proposal contains a description of the contracted products, support, training, and payment terms.

5.2. Payment Method

Payments must be made in accordance with the terms, form, and amounts stipulated in the Commercial Proposal. The Customer authorizes TRAX GLOBAL to charge their payment method at recurring intervals (monthly, annually) until cancellation is requested.

5.3. Late Payment

In case of late payment, the following will be charged on the overdue amount:

  • Default interest of 1% per month, calculated pro rata die from the due date.
  • Non-compensatory fine of 2% on the total amount of the overdue debt.

5.4. Suspension for Default

In case of non-payment, TRAX GLOBAL reserves the right to suspend access to the Platform and Services. Access will be reactivated once outstanding debts have been settled.

5.5. Refund

All purchases and subscription fees are non-refundable.

Prohibited Activities

The Customer is aware and agrees that, when using the Platform, it is strictly prohibited to:

  • Assign, sublicense, sell, donate, dispose of, rent, distribute, transmit, or transfer, in whole or in part, the Platform and its content to third parties;
  • Copying, modifying, adapting, translating, decompiling, disassembling, reverse engineering, or exploiting the Platform economically is prohibited.
  • Systematically extracting data (scraping) to create a competing database or for unauthorized commercial use;
  • Using the Platform for purposes not provided for in the Terms and Conditions or for the creation of competing products or services;
  • Disseminate or install viruses or any malicious code for the purpose of interrupting, destroying, or improperly accessing the Platform;
  • Using any information obtained from the Platform to harass, abuse, or harm another person;
  • Violating the privacy of other users of the Platform;
  • To engage in any act contrary to the legislation in force or the Terms and Conditions.

IMPORTANT: In case of non-compliance with the provisions of the Terms and Conditions, TRAX GLOBAL may unilaterally terminate the commercial relationship, without prejudice to the applicable penalties.

Warranty Disclaimer

7.1. Regarding Data

The Platform is provided "AS IS." Import/Export Search, Contact, and Container Tracking data is obtained from third-party sources (public and private), the result of inference and statistical work.

We do not guarantee the accuracy, integrity, timeliness, or reliability of this data. TRAX GLOBAL is not responsible for the accuracy of the information contained in the sources. The use of the information is at the Customer's own risk.

7.2. Regarding Artificial Intelligence

AI Services (AI Chat, AI Analyst, AI Supplier, Video Call with AI Specialist) provide automated information and simulations based on inferences, statistical analyses, and probabilities, and are not intended to replace professional human judgment.

AI outputs may contain errors or inaccuracies. They do not constitute legal, financial, or investment advice. The Customer must verify all information before making business decisions.

The Client exempts TRAX GLOBAL from any and all liability for direct and indirect losses and damages caused by decisions made based on information obtained from the Platform.

Limitation of Liability

UNDER NO CIRCUMSTANCES will TRAX GLOBAL, its directors, or employees be liable for any direct, indirect, consequential, exemplary, or punitive damages, including lost profits, lost revenue, or lost data, arising from the use of the Platform or reliance on the data or AI.

TRAX GLOBAL's total liability for any cause will always be limited to the amount paid by the Customer during the six (6) months prior to any cause of action.

TRAX GLOBAL is not responsible for access or navigation failures resulting from circumstances beyond its control, including:

  • Interruptions, temporary unavailability, or connection suspensions;
  • Technical failures of the Customer's or third parties' hardware or software;
  • Internet failures in general;
  • Power outages;
  • Force majeure and unforeseeable circumstances.

Support and Availability

9.1. Online Support

TRAX GLOBAL provides online support to address and resolve any issues with the Services, as well as to clarify questions related to the use of the Platform, according to the availability and deadlines established in the Commercial Proposal.

9.2. Platform Availability

TRAX GLOBAL guarantees that the Platform will be available 24 (twenty-four) hours a day, 7 (seven) days a week, with access and operating conditions for at least 90% (ninety percent) of the time, except in cases of scheduled or emergency downtime for maintenance, updates, or configuration adjustments.

9.3. Support Channels

Support services can be requested through the following channels:

  • Support email available on the Platform.
  • Chat within the Platform

Changes and Validity

TRAX GLOBAL reserves the right to change, modify, or update these Terms and Conditions at any time to reflect changes in services, legal requirements, or internal policies.

In the event of significant changes, the Customer will be notified through the Platform itself. The changes will take effect on the date specified in the notification. Continued use of the Platform after the publication of the changes will be considered as acceptance of the changes by the Customer.

Validity of Clauses: Any provision of the Terms and Conditions that is declared invalid, void, or unenforceable by any competent judicial authority shall be deemed dispensable, without affecting the validity and effectiveness of the remaining provisions.

Privacy and Data Protection

TRAX GLOBAL is concerned with data privacy and security. By using the Platform, the Customer agrees to comply with the Privacy Policy, which is incorporated into these Terms and complies with the General Data Protection Law (LGPD).

The Privacy Policy details how we collect, use, store, and protect personal information, as well as the rights of data subjects in relation to their information.

TRAX GLOBAL's processing of personal data complies with the principles and guarantees established by the LGPD, ensuring transparency, security, and respect for the rights of data subjects.

Applicable Law and Jurisdiction

The Terms and Conditions are governed by the laws of the Federative Republic of Brazil.

12.1. Prior Conflict Resolution

Any dispute arising from or related to the Terms and Conditions must be previously presented by both parties through detailed notification with a description of the problem, grounds, and relevant documents.

From the moment of receipt of the notification, the Parties shall endeavor to resolve the issue amicably through direct negotiations within a minimum period of thirty (30) days. Amicable resolution shall be an essential and prior condition for the filing of any legal action.

12.2. Forum

Any disputes not resolved amicably shall be resolved by the competent court of the district where TRAX GLOBAL is headquartered, to the exclusion of any other, however privileged it may be or become.
